1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and SignLab, a company registered in the United Arab Emirates ("SignLab," "we," "us," or "our"), governing your access to and use of the SignLab electronic signature platform available at signlab.app and associated services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, OR CLICKING "I AGREE," YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.
If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms, and the terms "you" and "your" refer to that entity.
2. Eligibility and Account Registration
2.1 Age and Legal Capacity
You must be at least 18 years of age and have full legal capacity to enter into binding contracts under applicable law to use the Service. By creating an account, you represent and warrant that you meet these requirements.
2.2 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for all activity that occurs under your account.
2.3 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. You must notify SignLab immediately at security@signlab.app if you suspect unauthorised access to your account. SignLab will not be liable for any loss or damage arising from your failure to maintain account security.
2.4 One Account Per User
Each individual or legal entity may maintain only one active account unless expressly authorised by SignLab in writing. SignLab reserves the right to merge or terminate duplicate accounts.
3. Description of Service
SignLab provides an electronic signature and document management platform that enables users to:
- Upload, prepare, and send documents for electronic signature
- Collect legally binding electronic signatures from one or more signers
- Generate tamper-evident signed PDF documents with embedded audit trails
- Manage document templates, signing workflows, and team member access
- Verify signed documents via QR code and audit certificate
SignLab produces Simple Electronic Signatures (SES) as defined under applicable electronic signature legislation. SignLab does not currently offer Advanced Electronic Signatures (AES) or Qualified Electronic Signatures (QES) as defined under eIDAS or equivalent standards unless expressly stated for a specific product tier.
4. Acceptable Use Policy
4.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in good faith and in compliance with all applicable local, national, and international laws and regulations.
4.2 Prohibited Uses
You must not use the Service to:
- Forge, falsify, or misrepresent the identity of any party to a document
- Obtain signatures from individuals who have not consented to signing
- Sign or cause to be signed any document that is illegal, fraudulent, or deceptive
- Process documents that are explicitly excluded from electronic signature validity (see Section 5)
- Engage in money laundering, financial fraud, or any criminal activity
- Send unsolicited or spam communications via the signing invitation system
- Introduce malware, viruses, or malicious code into the Service
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Resell, sublicense, or commercially exploit the Service without written authorisation from SignLab
- Use the Service to store or transmit content that is defamatory, obscene, or violates any third-party rights
- Use automated scripts, bots, or scraping tools on the Service without prior written consent
SignLab reserves the right to suspend or terminate accounts found to be in breach of this Section immediately and without notice.
5. Document Types Excluded from Electronic Signatures
Certain document types cannot be validly executed by electronic signature under applicable law. You acknowledge and agree that the Service is NOT to be used for the following document types (this list is non-exhaustive and varies by jurisdiction):
- Wills, testamentary documents, codicils, and instruments of testamentary disposition
- Property transfer deeds, real estate conveyance documents, or land registration instruments where wet ink signatures are required by applicable law
- Powers of attorney (in jurisdictions where wet signatures are required, including many UAE-specific circumstances)
- Court orders, judicial documents, and sworn affidavits requiring notarisation
- Adoption, custody, guardianship, or parental rights agreements
- Negotiable instruments such as promissory notes and bills of exchange where wet signatures are required
- Documents requiring notarial attestation or public authentication
- Official government certificates, licences, or authorisations
- Marriage contracts or divorce agreements under applicable personal status law

You are solely responsible for determining whether electronic signatures are legally valid for your specific document type and jurisdiction. SignLab strongly recommends consulting a qualified legal professional before signing documents with significant legal or financial consequences.
6. Electronic Signature Consent
By using the Service to send a document for signature, you confirm that:
- You have obtained or will obtain the informed consent of all signers to conduct business electronically and to sign the document using an electronic signature
- You have provided signers with a clear and conspicuous opportunity to decline to sign electronically
- You will retain a copy of each signed document and the associated audit trail for as long as legally required
- The signers have access to the technology required to view, sign, and retain copies of the documents
7. Data Ownership and Intellectual Property
7.1 Your Content
You retain full ownership of all documents, templates, content, and data that you upload to or create using the Service ("Your Content"). You grant SignLab a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely for the purpose of providing the Service to you.
7.2 SignLab Intellectual Property
All rights, title, and interest in the Service, including its software, design, trademarks, logos, and documentation, are owned by SignLab or its licensors. Nothing in these Terms grants you any right to use SignLab's intellectual property except as expressly permitted herein.
7.3 Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant SignLab an unrestricted, irrevocable, royalty-free licence to use such feedback for any purpose without compensation or attribution to you.
8. Data Protection and Privacy
SignLab processes personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference and is available at signlab.app/privacy. By using the Service, you agree to the collection and processing of personal data as described in the Privacy Policy.
For customers subject to GDPR or equivalent data protection legislation, a Data Processing Agreement (DPA) is available upon request at privacy@signlab.app and governs the processing of personal data on your behalf.
9. Subscription, Billing and Payment
9.1 Plans and Fees
Access to paid features of the Service requires a paid subscription. Current plans and pricing are available at signlab.app/pricing. SignLab reserves the right to modify pricing with no less than 30 days' written notice to existing subscribers.
9.2 Billing
By subscribing to a paid plan, you authorise SignLab (via its payment processor, Stripe) to charge your payment method on a recurring basis at the start of each billing period (monthly or annual, as selected). All charges are in the currency selected at checkout and are non-refundable except as expressly stated in the Refund Policy.
9.3 Auto-Renewal
ALL PAID SUBSCRIPTIONS AUTO-RENEW AUTOMATICALLY AT THE END OF EACH BILLING PERIOD. You authorise us to charge your payment method for the renewal amount unless you cancel before the renewal date. You may cancel at any time via your account settings or by contacting support@signlab.app.
9.4 Free Plan
The Free plan is provided as-is with no service level commitments, no uptime guarantee, and may be modified, restricted, or discontinued at any time with reasonable notice. Free plan users do not have a right to data export upon discontinuation unless expressly stated at the time.
9.5 Failed Payments
If a payment fails, SignLab will make reasonable attempts to notify you and retry the charge. After 7 days of non-payment, SignLab may suspend access to paid features. After 30 days, SignLab may downgrade or terminate the account. You remain liable for all outstanding amounts.
9.6 Taxes
All fees are exclusive of applicable taxes including UAE VAT (currently 5%), EU VAT, and other applicable taxes. You are responsible for all taxes applicable to your subscription in your jurisdiction. Where SignLab is required by law to collect tax, it will be added to your invoice.
10. Refund Policy
SignLab operates a limited refund policy as follows:
- Annual subscriptions: A full refund is available within 14 days of the initial purchase if you have not used the Service to send any documents. No refunds are available after 14 days or after any documents have been sent.
- Monthly subscriptions: No refunds are provided for partial months or unused portions of a monthly subscription period.
- Free plan: No charges are applied; no refunds are applicable.
- Exceptional circumstances: SignLab may, at its sole discretion, issue a credit or partial refund in exceptional circumstances such as a verified technical failure preventing Service use for an extended period.
To request a refund, contact support@signlab.app with your account details and reason for the request within the applicable window.
11. Service Availability and Uptime
SignLab will use commercially reasonable efforts to maintain Service availability. However, SignLab does not guarantee uninterrupted or error-free operation of the Service. Planned maintenance will be communicated in advance where possible.
The following SLA applies to paid plans only (excluding Free):
- Team and Business plans: SignLab targets 99.5% monthly uptime, excluding scheduled maintenance and force majeure events.
- Enterprise plans: Uptime commitment is as specified in the applicable Enterprise Agreement.
SignLab shall not be liable for any downtime, data loss, or service interruptions beyond the credit scheme described in the applicable SLA documentation.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- SIGNLAB'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SIGNLAB IN THE 12 MONTHS PRECEDING THE CLAIM.
- SIGNLAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, EVEN IF SIGNLAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- SIGNLAB IS A TECHNOLOGY PLATFORM AND IS NOT A LAW FIRM. SIGNLAB DOES NOT PROVIDE LEGAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR THE LEGAL VALIDITY AND ENFORCEABILITY OF DOCUMENTS SIGNED THROUGH THE SERVICE IN YOUR SPECIFIC JURISDICTION.
- SIGNLAB MAKES NO WARRANTY THAT ELECTRONICALLY SIGNED DOCUMENTS WILL BE ENFORCEABLE IN ANY PARTICULAR JURISDICTION OR FOR ANY PARTICULAR PURPOSE.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless SignLab, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service in violation of these Terms
- Your use of the Service for any prohibited purposes set out in Section 4
- Any documents processed through the Service at your direction
- Any claims by third parties arising from your use of the Service
- Any breach of your representations or warranties under these Terms
14. Termination
14.1 Termination by You
You may cancel your account at any time via account settings or by contacting support@signlab.app. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until then.
14.2 Termination by SignLab
SignLab may suspend or terminate your account immediately and without notice if:
- You breach any provision of these Terms or the Acceptable Use Policy
- SignLab reasonably suspects fraudulent, abusive, or illegal activity
- Required to do so by applicable law or court order
- Your account has been inactive for more than 24 consecutive months on a Free plan
14.3 Effect of Termination
Upon termination: (a) your right to access the Service ceases immediately; (b) signed documents will remain available for download for 30 days following termination, after which they may be permanently deleted; (c) any outstanding fees remain due and payable. Sections 7, 12, 13, 16, and 17 survive termination.
15. Data Retention and Deletion
SignLab retains your documents and associated data as follows:
- Active accounts: Documents retained for the duration of the account plus 90 days after termination
- Cancelled paid accounts: Documents available for 30 days after cancellation; you will receive a reminder email before deletion
- Inactive free accounts (24+ months): Data may be deleted after 90 days' written notice
- Signed documents with legal obligations: Where you notify SignLab that a document is subject to a legal hold or regulatory retention requirement, SignLab will use reasonable efforts to preserve the data for the stated period
You are responsible for downloading and archiving any documents you require before account termination or expiry of the retention period.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.
16.2 Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or the Service, the parties shall first attempt to resolve the dispute through good faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be finally resolved by arbitration in Dubai, UAE under the rules of the Dubai International Arbitration Centre (DIAC), in the English language.
16.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
17. General Provisions
17.1 Modifications
SignLab reserves the right to modify these Terms at any time. For material changes, SignLab will provide no less than 30 days' notice via email or in-app notification. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
17.2 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable Service Order or Enterprise Agreement, constitute the entire agreement between you and SignLab with respect to the Service and supersede all prior agreements.
17.3 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
17.4 Waiver
SignLab's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without SignLab's prior written consent. SignLab may assign these Terms without restriction.
17.6 Force Majeure
SignLab shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, or internet infrastructure failures.
